Terms of Service

Summary (not a substitute for the terms below)
- PropPal EA is operated by Tyto Labs Pte. Ltd., a Singapore company. PropPal EA is intended only for property agents.
- You connect your own WhatsApp Business Account through Meta's Embedded Signup. You are responsible for opt-in and messaging compliance.
- The Pro-tier Lead Concierge can auto-reply to new inbound leads in your voice within configured real-estate flows. You enable it per category and remain responsible for what is sent.
- The first month is a paid trial of S$15. From month 2 onwards your selected plan price applies. Trial fees and subscription fees are non-refundable.
- Annual plans are committed for the year and are non-refundable. Cancellation stops auto-renewal but does not entitle you to a pro-rated refund.
- Disputes are heard in the Singapore courts. Liability is capped at the lesser of the Fees paid in the prior 12 months or SGD 750.
- This Terms of Service incorporates our Privacy Policy and our Data Processing Addendum by reference.
Provider: Tyto Labs Pte. Ltd. [UEN: 202621053Z], a Singapore company, doing business as PropPal Executive Assistant ("PropPal EA"), referred to in these Terms as "Tyto Labs", "we", "us" or "our". PropPal EA is one of several products operated by Tyto Labs.

These Terms of Service ("Terms") govern your access to and use of PropPal EA's application, website, and related services (the "Service"). If you do not agree to these Terms, do not use the Service.
1. Definitions
1.1 "User" or "Agent" means you, an individual using the Service in a business capacity as a property agent, and if applicable, the agency or entity you represent.
1.2 "Lead" means an individual whose personal data is provided to or processed through the Service by an Agent (including the Agent's clients, prospects, tenants, landlords, buyers, and sellers).
1.3 "User Content" means data you provide to or process through the Service, including WhatsApp messages, contact details, metadata, notes, attachments, tone of voice samples, and other content.
1.4 "Third-Party Platforms" means services not controlled by Tyto Labs, including WhatsApp (provided by Meta) and Google Calendar (provided by Google).
1.5 "WhatsApp Business Cloud API" means the official Meta-hosted application programming interface that PropPal EA uses to send and receive WhatsApp Business messages on your behalf.
1.6 "Tech Provider" means a business onboarded by Meta to access the WhatsApp Business Platform on behalf of its customers. Tyto Labs is a Meta Tech Provider in respect of PropPal EA.
1.7 "Lead Concierge" means the Pro-tier feature described in Section 6 that, when enabled by an Agent, may auto-reply in the Agent's voice to new inbound leads within configured real-estate qualification flows.
1.8 "Privacy Policy" means our privacy policy, available at proppalcrm.com/privacy-policy/.
1.9 "DPA" means our Data Processing Addendum, available at proppalcrm.com/dpa/.
1.10 "Sub-processors" means the third-party service providers we engage to provide the Service. A current list is published at proppalcrm.com/subprocessors/.
1.11 "Stripe" means Stripe Payments Asia, Pacific Pte. Ltd. or its affiliates, our primary payment processor.
1.12 "Fees" means subscription fees, paid trial fees, and other charges shown at checkout or in your plan.
1.13 "PDPA" means the Singapore Personal Data Protection Act 2012 (and its subsidiary legislation), as amended.
2. Acceptance and authority
2.1 By clicking "I agree", creating an account, or using the Service, you agree to these Terms, our Privacy Policy, and our DPA, each of which is incorporated into these Terms by reference. If there is any conflict between these Terms and the Privacy Policy or DPA, these Terms prevail, except that the DPA prevails over these Terms in respect of personal data we process on your behalf as a data intermediary / processor.
2.2 If you use the Service on behalf of an agency or company, you represent you have authority to bind that entity, and "you" includes that entity.
2.3 You must be at least 18 years old and have legal capacity to contract.
3. Eligibility and intended use
3.1 The Service is intended only for business users who are property agents.
3.2 Tyto Labs may request verification (including verification of your CEA registration as a real estate salesperson where applicable) and may refuse service at its discretion.
3.3 Tyto Labs may suspend or terminate accounts that do not meet eligibility criteria.
3.4 International use; local law compliance. The Service is offered by Tyto Labs from Singapore but may be accessible worldwide. You are responsible for ensuring your access to and use of the Service is lawful in your jurisdiction, including complying with all local laws, regulations, and industry rules that apply to your business and your communications. The Service is not intended for use in jurisdictions where such use would be prohibited by applicable law.
3.5 Sanctions and export controls. You may not use the Service if you are located in, or are a national or resident of, any country or territory subject to comprehensive sanctions, or if you are otherwise a restricted party under applicable export control or sanctions laws. You represent and warrant that your use of the Service will comply with all applicable export control and sanctions laws and regulations.
3.6 Business use only; no consumer use. The Service is offered only for business and professional use. You represent and warrant that you are not using the Service as a consumer and that you are using it in the course of your trade, business, or profession.
4. Account security
4.1 You are responsible for safeguarding your account credentials and for all activity under your account.
4.2 You must promptly notify Tyto Labs of any suspected unauthorised access.
4.3 One (1) WhatsApp Business Account connection per PropPal EA account, unless otherwise agreed in writing.
4.4 One account per Agent. Each PropPal EA account is for use by one Agent (one CEA-registered salesperson, where applicable). You must not share your account credentials with other agents or with any individual who has not been authorised by you in writing. The Customer is responsible for all activity occurring under its account.
5. Service scope and WhatsApp connectivity
5.1 Cloud API connection. PropPal EA connects to your WhatsApp Business Account through the official WhatsApp Business Cloud API, accessed by Tyto Labs as a Meta-onboarded Tech Provider through Meta's Embedded Signup flow. The Service may receive, ingest, organise, search, summarise, and draft content based on your WhatsApp Business communications, in each case for the purpose of providing the Service to you.
5.2 Coexistence. Where supported by Meta's Embedded Signup with Coexistence, the Service may also receive a window of historical conversations from your WhatsApp Business Account. Processing of historical conversations is governed by the Privacy-First Chat Access controls described in our Privacy Policy.
5.3 Tech Provider relationship. Tyto Labs is a Meta Tech Provider in respect of PropPal EA and is otherwise not endorsed by, sponsored by, or officially affiliated with Meta or WhatsApp.
5.4 Third-party changes. Third-Party Platforms (including Meta and Google) may change, restrict, suspend, or remove access at any time. Tyto Labs does not control Third-Party Platforms and does not guarantee continued connectivity or availability.
5.5 Tyto Labs may modify, suspend, or discontinue any part of the Service at any time, including features and integrations, without liability to the maximum extent permitted by law.
5.6 You acknowledge that Third-Party Platforms may enforce their terms or policies and may restrict accounts or access, including for suspected violations of their policies. Tyto Labs is not responsible for such enforcement or restrictions, to the maximum extent permitted by law. You acknowledge Third-Party Platforms are provided by third parties and are not part of the Service.
6. Lead Concierge (Pro tier)
6.1 What it does. Lead Concierge is an opt-in Pro-tier feature that handles initial qualification of new inbound leads on your behalf. When you enable Lead Concierge for one or more of the supported real-estate categories (HDB BTO, HDB Resale, Resale Condo, New Launch, Rental, Commercial), AI may auto-send WhatsApp messages in your voice to greet the lead, ask the qualifying questions you have configured, and answer basic property questions, before handing the conversation back to you with a qualified summary.
6.2 Task-specific automation. Lead Concierge is limited to real-estate lead qualification within the categories you enable. It is not a general-purpose AI assistant and is configured to comply with Meta's WhatsApp Business Messaging Policy permitting task-specific automation (such as bookings, lead qualification, sales, and notifications).
6.3 Opt-in per category. Lead Concierge is off by default. You must explicitly enable each category and approve the qualifying questions before any auto-send occurs. You can pause or disable Lead Concierge globally or per category at any time, and pausing immediately stops auto-sends.
6.4 Tone of Voice Training. Before enabling Lead Concierge for the first time, you must provide three to five sample replies you have previously sent to leads, so that Lead Concierge can match your tone. We do not use these samples for any other purpose. See the Privacy Policy for details on storage and retention of tone of voice samples.
6.5 Confidence threshold. Lead Concierge auto-sends a reply only when the AI's classification confidence is at least 90%. Below that threshold, Lead Concierge falls back to draft-for-approval and waits for you to review and send manually.
6.6 Daily cap. Lead Concierge auto-replies are capped at 100 messages per Agent per day to prevent runaway behaviour.
6.7 Hand-off. Lead Concierge transfers a conversation to you as soon as qualification is complete, the lead asks something outside its configured scope, or you intervene manually. Once handed off, Lead Concierge no longer replies in that conversation unless you re-enable it.
6.8 Existing conversations. Lead Concierge does not auto-reply in conversations governed by the Privacy-First Chat Access controls described in our Privacy Policy — only on first contact with new inbound leads.
6.9 Your responsibility. You are responsible for all messages sent through your WhatsApp Business Account, including those sent by Lead Concierge in your voice. You must review handed-off conversations promptly and ensure that messages comply with Meta's WhatsApp Business Messaging Policy, the PDPA, the Singapore Spam Control Act 2007, and other applicable law (see Section 9).
7. Google Calendar integration (Pro tier)
7.1 Smart Viewings. If you enable Smart Viewings (a Pro-tier feature), the Service connects to your Google Calendar through Google's OAuth flow using the following two scopes, and only these scopes:
- https://www.googleapis.com/auth/calendar.events.readonly — read-only access used solely to detect scheduling conflicts when proposing viewing times.
- https://www.googleapis.com/auth/calendar.app.created — used solely to create and manage a separate, app-created calendar named "PropPal Viewings".
7.2 PropPal EA does not modify, create, or delete events on your primary Google Calendar. PropPal EA's use of Google user data is limited as set out in our Privacy Policy and complies with the Google API Services User Data Policy, including the Limited Use requirements.
7.3 You can disconnect Google Calendar at any time from within the Service or by revoking access at myaccount.google.com/permissions.
8. AI features and accuracy disclaimer
8.1 The Service may use AI to generate summaries, extracted fields, suggested replies, drafts, lead qualification outputs, and (Pro tier) Lead Concierge auto-replies. AI output may be inaccurate, incomplete, misleading, or inappropriate.
8.2 You must independently review and verify AI output before relying on it. For features other than Lead Concierge, you must approve any AI-generated message before sending it. For Lead Concierge auto-replies, you accept the operating parameters described in Section 6 and remain responsible for monitoring and intervening as necessary.
8.3 The Service does not provide legal, regulatory, financial, or professional advice.
8.4 You acknowledge AI output is generated by statistical methods and may be incorrect. You remain responsible for all decisions, actions, and communications made using or relying on AI output, including Lead Concierge auto-replies sent in your voice.
9. Your responsibilities and acceptable use
9.1 You will use the Service lawfully and responsibly, including complying with all applicable laws, regulations, codes, and Third-Party Platform terms, policies, and requirements relating to privacy, personal data, telemarketing, anti-spam, and electronic communications.
9.2 Opt-in and messaging compliance. You are solely responsible for your communications, outreach, and marketing practices, including all content sent through your WhatsApp Business Account (whether sent manually by you, drafted by AI and sent by you, or auto-sent by Lead Concierge in your voice). Without limiting Section 9.1, you must comply with:
- Meta's WhatsApp Business Messaging Policy, including its requirements for prior opt-in, the 24-hour customer service window, and Meta-approved template messages outside that window;
- the PDPA, including the Do Not Call provisions where the contact is a Singapore telephone number; and
- the Singapore Spam Control Act 2007 in respect of unsolicited commercial electronic messages.
9.3 You must not, and must not permit any third party to:
- send spam, bulk unsolicited messages, or engage in harassment or prohibited conduct;
- send marketing messages to Singapore telephone numbers without complying with applicable Do Not Call requirements;
- send unsolicited commercial electronic messages in breach of applicable anti-spam laws;
- process personal data without appropriate authority, notice, consent, or other lawful basis where required;
- upload or process highly sensitive credentials (for example, banking passwords, payment card CVVs, or one-time passwords);
- configure Lead Concierge in a way that misrepresents the nature of your business or that auto-sends content that is misleading, deceptive, harassing, or otherwise unlawful;
- attempt to bypass security, scrape, reverse engineer, or interfere with the Service; or
- use the Service to create, distribute, or facilitate unlawful content or unlawful activity.
9.4 You acknowledge that failure to follow lawful and responsible messaging practices, or to comply with Third-Party Platform rules, may increase the likelihood of restrictions, suspensions, or bans by Third-Party Platforms. Tyto Labs is not responsible for such restrictions, suspensions, or bans except to the extent directly caused by Tyto Labs's fraud, wilful misconduct, or material breach of these Terms.
10. User Content, permissions, and consents
10.1 You retain ownership of your User Content.
10.2 You grant Tyto Labs a limited, non-exclusive, worldwide right, during the term of these Terms, to host, store, reproduce, transmit, process, modify, and display User Content (including tone of voice samples and personalisation context) solely as necessary to:
- provide, operate, and support the Service, including Lead Concierge auto-replies;
- maintain, secure, monitor, troubleshoot, and improve the Service;
- prevent abuse and enforce these Terms; and
- comply with applicable law and lawful requests.
10.3 Unless expressly stated otherwise in writing, Tyto Labs does not use your User Content to train general-purpose AI models for the benefit of other customers or third parties. Tyto Labs may use User Content only as necessary to provide, secure, support, troubleshoot, and improve the Service for you, and to generate aggregated or de-identified insights that do not identify you or any individual.
10.4 You represent that you have all rights, authority, and permissions required to provide User Content to Tyto Labs and to instruct Tyto Labs to process it, including where User Content contains third-party personal data and where Lead Concierge auto-replies to such third parties on your behalf.
11. Data protection roles (PDPA)
11.1 Unless expressly agreed otherwise in writing, Tyto Labs processes personal data contained in User Content on your behalf and for your purposes as a data intermediary under the PDPA where applicable, or as a processor / service provider under analogous laws. You remain responsible for determining the purposes for which personal data is processed using the Service and for your compliance obligations as the organisation controlling that data.
11.2 You are responsible for providing any notices and obtaining any consents, authorisations, or other permissions required by applicable law for:
- collecting, using, disclosing, and processing personal data through the Service;
- instructing Tyto Labs to process, host, disclose, or transfer such personal data to Tyto Labs's Sub-processors, including third-party AI service providers, as necessary to provide the Service; and
- operating Lead Concierge to auto-reply to Leads on your behalf.
11.3 Where Tyto Labs acts as a data intermediary under the PDPA, Tyto Labs will comply with the obligations under applicable law that apply to data intermediaries in respect of personal data processed on your behalf, as set out in the DPA. Tyto Labs will treat User Content as confidential and will not access, use, or disclose it except as necessary to provide and support the Service, maintain security, prevent abuse, comply with law or lawful requests, enforce these Terms, or as otherwise described in these Terms, the Privacy Policy, or the DPA.
12. Sub-processors and cross-border processing
12.1 You acknowledge and agree that Tyto Labs may engage third-party Sub-processors to provide, host, support, secure, monitor, and improve the Service. A current list is published at proppalcrm.com/subprocessors/. Sub-processors include, without limitation:
- Meta Platforms — WhatsApp Business Cloud API;
- Google LLC — Calendar API (Pro tier);
- OpenAI and Anthropic — AI services for drafts, summaries, qualification, and Lead Concierge;
- Stripe — payment processing;
- Supabase — database hosting;
- Cloudflare — webhook and edge hosting;
- PostHog (US Cloud) — product analytics.
12.2 We will provide at least 7 days' advance notice on the Sub-processors page before adding or replacing a Sub-processor that processes User Content.
12.3 AI providers. You acknowledge that message content, prompts, outputs, metadata, tone of voice samples, and related data may be transmitted to OpenAI and Anthropic to provide AI functionality, including Lead Concierge. We use zero-retention API endpoints with these providers where available, and these providers do not train or improve their general-purpose AI models on your content.
12.4 International processing. Personal data and User Content may be processed, stored, backed up, or accessed in Singapore and in other countries where Tyto Labs or its Sub-processors operate, including the United States and the European Union.
12.5 You instruct Tyto Labs to make such cross-border transfers of personal data as are reasonably necessary to provide the Service. Where the PDPA applies to such transfers, Tyto Labs will take steps intended to ensure that recipients of personal data transferred outside Singapore are subject to legally enforceable obligations to provide a standard of protection to the transferred personal data that is comparable to the protection required under the PDPA.
12.6 You remain responsible for assessing whether your use of the Service, and your disclosure of personal data to Tyto Labs, is permitted under applicable law, including whether you must provide notices, obtain consents, or satisfy any other legal requirement before using the Service.
13. Security
13.1 Tyto Labs will implement reasonable technical and organisational security measures intended to protect User Content against unauthorised access, collection, use, disclosure, copying, modification, disposal, or similar risks, as further described in the Privacy Policy.
13.2 You acknowledge that no method of transmission over the Internet, and no method of electronic storage or security control, is completely secure. Accordingly, Tyto Labs does not guarantee that unauthorised access, loss, corruption, or disclosure will never occur.
13.3 If Tyto Labs has credible grounds to believe that a personal data breach affecting User Content has occurred, Tyto Labs will notify you in accordance with the timelines and processes set out in the Privacy Policy and the DPA, subject to applicable law, security needs, and confidentiality obligations.
13.4 You are responsible for maintaining the security of your own devices, credentials, systems, and integrations, and for configuring and using the Service in a secure manner.
14. Data retention and deletion
14.1 Retention periods for each category of User Content are set out in the Privacy Policy.
14.2 Upon your written request to [email protected], Tyto Labs will use commercially reasonable efforts to delete or de-identify User Content from active systems within 30 calendar days after verifying a valid request. Tyto Labs may retain User Content to the extent retention is required by law or necessary for billing, tax, fraud prevention, dispute resolution, security investigations, or to enforce these Terms.
14.3 Residual copies of User Content may persist in encrypted backups for a limited period and will be overwritten in accordance with backup cycles, unless earlier removal is required by law.
14.4 After cancellation or termination, Tyto Labs may delete or de-identify User Content in accordance with its retention practices, subject to applicable law and required retention.
14.5 Billing and accounting records may be retained for longer periods to meet legal and tax requirements, as set out in the Privacy Policy.
14.6 Deletion requests must be submitted from the email associated with the account to [email protected] and must specify the account to be deleted. Tyto Labs may request information needed to verify the request and complete deletion. Additional instructions are at proppalcrm.com/data-deletion/.
15. Fees, paid trial, billing, and renewals
15.1 The Service is offered on subscription plans that may be billed monthly or annually, depending on the plan you choose at checkout.
15.2 Paid trial. The first month is offered as a paid trial at S$15 (the "Paid Trial"). The Paid Trial provides access on either the Basic or Pro tier, as you select at checkout. The Paid Trial fee is non-refundable. We do not offer a free trial.
15.3 Conversion to subscription. Unless you cancel before the end of the Paid Trial, your subscription will automatically continue at the standard monthly or annual price for the tier and billing cycle you selected at checkout. You can cancel at any time from within the Service.
15.4 Auto-renewal. Unless otherwise stated at checkout or in an order form, subscriptions renew automatically for successive periods of the same length as the then-current subscription term unless cancelled before the renewal date.
15.5 Payment processor. Payment is collected through Stripe (our primary payment processor). You authorise Tyto Labs and Stripe to charge the applicable Fees, taxes, and other amounts due using your selected payment method. Tyto Labs may offer additional payment methods (including PayNow) from time to time.
15.6 Fee changes. Tyto Labs may change Fees with at least 14 days' notice by email or in-app notice. Any Fee change will apply prospectively and, unless otherwise stated, no earlier than the start of your next renewal term after the notice period.
15.7 No refunds. All Fees, including the Paid Trial fee, monthly subscription fees, and annual subscription fees, are non-refundable to the maximum extent permitted by law, except where a refund is required by applicable law or expressly granted by Tyto Labs in writing. Annual plans are committed for the full annual term, and there are no pro-rated refunds, credits, or partial refunds for partial billing periods, unused time, downgrades, or partially used subscriptions.
15.8 No refunds in restriction scenarios. If your WhatsApp Business Account or Third-Party Platform access is restricted, suspended, terminated, or otherwise unavailable due to Third-Party Platform policies, changes, enforcement, outages, or decisions, Fees are non-refundable, except to the extent the relevant issue was directly caused by Tyto Labs's fraud, wilful misconduct, or material breach of these Terms.
15.9 Cancellation. You may cancel your subscription at any time through the Service or by contacting support. Unless otherwise stated in the Service, cancellation will take effect at the end of the then-current billing period or subscription term, and you will retain access until that time unless these Terms are earlier terminated. Cancellation does not entitle you to a refund of any Fees already paid.
15.10 Failed payments and non-payment. If any payment is overdue or your payment method fails, Tyto Labs may suspend access to the Service after notice and may terminate the Service for continued non-payment. You remain responsible for all unpaid amounts due up to the effective date of termination.
15.11 Taxes. Fees are exclusive of all taxes, levies, duties, or similar governmental assessments, including VAT, GST, sales tax, and withholding taxes, except where stated otherwise. You are responsible for all taxes associated with your purchase of the Service, other than taxes based on Tyto Labs's income.
15.12 Withholding. If you are required by law to withhold any taxes from payments to Tyto Labs, you will increase the payment so that Tyto Labs receives the full amount it would have received absent the withholding, unless prohibited by law.
15.13 Currency. Fees are payable in Singapore Dollars (SGD) unless otherwise specified at checkout.
15.14 Invoices and tax information. If you require an invoice or local tax information, you must provide accurate billing details, including tax registration numbers where applicable. Tyto Labs may issue invoices electronically.
16. Suspension and termination
16.1 You may cancel your subscription as described in Section 15.9.
16.2 Tyto Labs may suspend or terminate your access immediately if it reasonably believes:
- you breached these Terms;
- your use creates security, legal, compliance, or reputational risk;
- suspension is required to comply with law or Third-Party Platform requirements;
- you fail to pay Fees when due; or
- continued operation may harm the Service or other users.
16.3 Upon termination, your right to use the Service ends immediately. Refunds (if any) are governed by Section 15.
17. Intellectual property
17.1 Tyto Labs retains all rights, title, and interest in the Service, including software, branding (including the "PropPal", "PropPal EA", "PropPal Executive Assistant", and "Lead Concierge" names and marks), and documentation.
17.2 You may not copy, modify, reverse engineer, or create derivative works of the Service except where permitted by law.
17.3 Subject to these Terms and payment of Fees, Tyto Labs grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Service for your internal business use.
17.4 Feedback. If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you grant Tyto Labs a perpetual, irrevocable, worldwide, royalty-free, fully paid, non-exclusive right to use, reproduce, modify, create derivative works from, incorporate, and otherwise exploit the Feedback for any purpose, without restriction or obligation (including without attribution or compensation). Feedback is not confidential.
18. Disclaimers
18.1 The Service is provided on an "as is" and "as available" basis.
18.2 Tyto Labs disclaims all warranties to the maximum extent permitted by law, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
18.3 Tyto Labs does not warrant uninterrupted operation, error-free outputs, error-free Lead Concierge auto-replies, or continued Third-Party Platform connectivity.
18.4 Tyto Labs does not provide any service level agreement or uptime guarantee unless expressly agreed in writing.
19. Release for Third-Party Platform actions
To the maximum extent permitted by law, you release Tyto Labs from claims arising from actions or restrictions imposed by Third-Party Platforms (including Meta, WhatsApp, and Google), including loss of access, limitation of features, or service interruptions, except to the extent caused by Tyto Labs's fraud or wilful misconduct.
20. Limitation of liability
20.1 To the maximum extent permitted by law, Tyto Labs is not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business opportunity, deals, goodwill, reputation, or anticipated savings, or for any loss or corruption of data, arising out of or relating to the Service, even if advised of the possibility of such damages. This includes (without limitation) any loss arising from Lead Concierge auto-replies, AI output, scheduling errors in Smart Viewings, or restrictions imposed by Third-Party Platforms.
20.2 To the maximum extent permitted by law, Tyto Labs is not liable for restrictions, enforcement actions, bans, outages, or unavailability caused by Third-Party Platforms, including Meta, WhatsApp, or Google, except to the extent directly caused by Tyto Labs's fraud, wilful misconduct, or material breach of these Terms.
20.3 To the maximum extent permitted by law, Tyto Labs's total aggregate liability arising out of or relating to the Service, whether in contract, tort (including negligence), strict liability, or otherwise, will not exceed the lesser of:
- the Fees paid by you to Tyto Labs for the Service in the 12 months immediately preceding the event giving rise to the claim; or
- SGD 750.
20.4 Nothing in these Terms excludes or limits liability to the extent such liability cannot be excluded or limited under applicable law, including for fraud or wilful misconduct.
21. Indemnity
21.1 You will indemnify and hold harmless Tyto Labs from third-party claims, damages, liabilities, penalties, costs, and reasonable legal fees, to the extent arising from:
- your breach of these Terms;
- your communications, outreach, or marketing practices, including spam or prohibited conduct, and including messages auto-sent by Lead Concierge in your voice;
- your failure to obtain required authority, notices, consents, or other permissions for personal data processing; or
- allegations that your User Content, or your use of the Service, infringes third-party rights or violates applicable law.
21.2 Tyto Labs will promptly notify you of any indemnified claim. You will control the defence and settlement of the claim, provided you may not settle any claim in a way that imposes obligations on Tyto Labs without Tyto Labs's prior written consent. Tyto Labs may participate with counsel at its own expense. You will reasonably cooperate with Tyto Labs in the defence of the claim.
22. Disputes and jurisdiction
22.1 Informal resolution. Before commencing any legal proceedings, the parties must attempt to resolve any dispute arising out of or relating to these Terms by written notice and good faith discussions for 60 days.
22.2 Exclusive jurisdiction. The parties submit to the exclusive jurisdiction of the courts of Singapore for the resolution of any dispute arising out of or relating to these Terms, the Privacy Policy, the DPA, or the Service. Each party waives any objection to such jurisdiction on the basis of inconvenient forum or otherwise.
22.3 Class action waiver. To the maximum extent permitted by law, disputes must be brought in an individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding.
22.4 Interim relief. Either party may seek urgent interim relief from the courts of Singapore (or, where necessary, any court of competent jurisdiction) for confidentiality, data security, or intellectual property protection.
23. Notices
23.1 Legal notices to Tyto Labs must be sent to [email protected], unless Tyto Labs designates another notice address. Service of court documents must be effected in accordance with applicable law.
23.2 Tyto Labs may send notices to you by email, in-app notifications, or other reasonable means.
24. Changes to these Terms
24.1 These Terms are effective as of the "Effective date" above. We may update these Terms from time to time. We will notify you by email or in-app. Continued use after the Effective date of an updated version constitutes acceptance.
24.2 Privacy Policy and DPA updates. We may update the Privacy Policy and the DPA from time to time. If we make changes that materially affect how we collect, use, or disclose personal data, we will provide notice (for example, in-app or by email) and may require you to re-accept before continuing to use the Service. Continued use after the effective date of a non-material update constitutes acceptance. If re-acceptance is required and you do not accept, you must stop using the Service.
25. Governing law
These Terms are governed by the laws of Singapore, without regard to conflict of laws principles.
26. Miscellaneous
26.1 Severability. If any provision is unenforceable, the remainder remains in effect.
26.2 Assignment. You may not assign these Terms without Tyto Labs's written consent. Tyto Labs may assign its rights and obligations as part of a reorganisation, merger, acquisition, or sale of assets.
26.3 Entire agreement. These Terms, together with the Privacy Policy and the DPA, form the entire agreement between you and Tyto Labs regarding the Service and supersede all prior or contemporaneous agreements on that subject.
26.4 No waiver. Failure to enforce a provision is not a waiver of rights.
26.5 Force majeure. Tyto Labs is not liable for delays or failures caused by events beyond its reasonable control.
26.6 No agency. Nothing in these Terms creates a partnership, employment, or agency relationship between you and Tyto Labs.
26.7 Survival. Sections 2, 9, 10, 11, 12, 14, 15, 17, 18, 19, 20, 21, 22, and 26 will survive any termination or expiry of these Terms.
26.8 Language. These Terms are drafted in English. If these Terms are translated, the English version will prevail to the extent of any inconsistency, to the maximum extent permitted by law.
26.9 Mandatory laws. Certain jurisdictions may not allow the exclusion of certain warranties or the limitation of certain liabilities. The disclaimers, exclusions, and limitations in these Terms apply to the maximum extent permitted by applicable law.
